Thank you for joining The Magnetic Collective (the “Program”)! I’m so excited and grateful that you’ll be joining our coaching group. I can’t wait to watch your transformation unfold, but first a quick word from my lawyer. ;) 

 

The information provided in the Program and ancillary information that KH may provide, such as informational statements, webcasts, articles, and information on KH’s website is for informational purposes only and is not intended to substitute professional medical advice, psychological treatment, diagnoses, or treatment. Always seek advice from your physician or other qualified healthcare provider before undertaking a new health regime. 

 

KH’s role is to provide tools that may help you shift into a more mentally peaceful and confident state so you can more easily attract your desires and achieve your goals. KH cannot heal you or change your behaviour: the tools KH provides are designed to assist you in healing yourself, shifting your perspective, and changing your own behaviour. KH cannot make any guarantees about the results of any information provided or the Program. KH will share educational and informational resources that have helped others and that are intended to help you become more confident and succeed in attracting people to you that you want to attract. Your ultimate success or failure will be the result of your own efforts, your particular situation, and innumerable other circumstances beyond KH’s knowledge and control. You are ultimately in charge of your conduct and the resulting consequences and outcomes.

 

  1. Program Scope

 

The Program will start when you complete payment and will continue for a minimum of 3 months until it is terminated under this Agreement. Your Program “Term” will generally consist of:

  • One group coaching workshop with Katie Hunt of KH, delivered via Zoom,

  • Access to tool Library on DropBox,

  • One group community call to receive support from Katie and other members,

  • Guest expert coaching workshops from external experts in other industries, 

Once you terminate your membership you will lose access to workshops/training, any community pages like on Facebook, tools, resources, and recorded sessions and any other material from the Program. 

  

  1. Program Content

 

  • Program education and information is intended for a general audience and does not purport to be, nor should it be construed as, specific advice, tailored to any individual.

  • All materials, procedures, policies, and standards, all teaching manuals, all teaching aids, all supplements and the like that have been or will be made available by KH or its designated facilitators, or any other source, oral or written, are for personal use in or in conjunction with the Program only.

  • Program content is for personal use only, and may not be sold, recorded, videotaped, shared, taught, given away, or otherwise transferred without the express written consent of KH.

  • The information contained in the Program materials is strictly for educational purposes. You are ultimately responsible for your own conduct, actions and your choices. You are ultimately in control and responsible for your use and implementation of the Program materials and information.

  • KH assume no responsibility for errors or omissions that may appear in any Program materials.

  • User names and passwords (when applicable) provided by KH to you may not be shared with any third-parties.

  • Any violation of KH’s policies regarding content usage shall result in the immediate termination of your enrollment and participation in the Program without refund of any amounts whatsoever.

Some of these ongoing materials and resources may be provided to clients at an additional cost once their Program term has been completed. KH may change the names, terms and conditions, delivery systems, or add to materials in its provision of the Program from time to time. KH will let you know if this happens and your continued use of the Program will be your acceptance of these modifications. 

 

  1. Your Program Participation:

As part of your participation in the Program, you agree to:

  1. consistently use your best efforts in the use of the Program materials and information in a manner consistent with the goodwill and reputation associated with the Program and KH.

  2. not to attack, disparage, or otherwise make or publish negative comments to the public or third parties regarding the Program or KH;

  3. not share or undermine the exclusive rights and access granted to you for the Program materials and information; and,

  4. act in a manner that will maintain the value and reputation of the Program to the best of your ability.

 

  1. No Guarantee

We want to be transparent and honest with you, which is why we want to make it clear that we do not provide any guarantees or warranties of results. Our focus is on providing you with the best possible support and resources, but we cannot promise any specific outcomes and we cannot know when, how, or to what extent your specific results will be.

We understand that you have embarked on a journey and we are glad to join you in it. Our team is dedicated to collaborating with you and providing assistance to help you achieve your goals. While we will put forth our utmost efforts, we cannot guarantee any specific outcomes or results.

Our role is to support and guide you on your journey, but ultimately the success or failure of your endeavors depends on various factors that are beyond our control. We cannot guarantee that our collaboration will lead to a specific outcome, as there are many external variables that can influence the final result.

  1. Termination

KH is committed to providing all participants with a positive experience. KH may, at its sole discretion, limit, suspend, or terminate your participation in any of its programs, live, recorded, social media-based or digital-based information and materials, without refund or forgiveness of remaining payments, if:

  • you become disruptive, unreasonable, or excessively difficult to work with;

  • you fail to follow the Program guidelines; 

  • you impair the participation of instructors or participants in KH’s program(s); or,

  • you do not provide payment when due under this Agreement.

In addition, KH may terminate this Agreement for any reason at any time by providing you with 7 days’ advance written notice. Any payments made by you for services or the Program that would be provided after the end of the 7 days’ notice will be refunded to you on a pro rata basis. 

If you want to end your Program, you may do so after 3 months minimum by cancelling your subscription in the Customer Portal (linked below), or by giving 14 days’ advance written notice to KH. All payments that arise prior to the end of the 14 days’ notice will be required to be paid by you and the Program will continue until the end of the 14 days’ notice. Customer Portal:

  1. Licensing

Your use of and access to the Program materials is for you alone and is not transferrable by you to any other person. KH hereby grants to you a non-exclusive right, license and privilege to use the Program materials provided to you during the duration of your participation in the Program and this Agreement. This license is granted directly to you and you have no authorization to sublicense to any other individual and/or company.

The limited license granted to you does not grant you any right, title or interest, at law or in equity, in

or to any of KH’s trademarks, service marks, copyrights, copyrighted material, or any

derivative uses thereof or, the name or images of Katie Hunt or KH, trade secrets or other

rights or intellectual property of any kind, except as expressly provided above. Your limited

license applies only to those Program materials set out in this Agreement. You shall not represent to

others, or conduct yourself in any manner that might indicate to others, that you possess any

other legal or equitable rights in the Program material, trademarks, copyrighted materials, trade secrets or other rights or intellectual property of any kind other than by virtue of the license granted in this Agreement. You agree that you will not publish or make available to the public any of the Program materials or other information and materials provided to you by KH, or any derivatives thereof.

 

You shall not assign, transfer, redistribute, sell, rent, sublicense, lease or otherwise your rights granted in this Agreement. You shall not reverse – engineer, disassemble, or otherwise attempt to derive the “source code” of the Program material. You agree to not modify the Program material or create any derivative work of the Program material or information and resources provided by KH to you and will not reproduce any database portions, tables, or reports relating to the Program material or information and resources.

  

KH shall have and hereby reserves all rights and remedies available at law to prevent your unlawful and/or unauthorized use of the Program material and information, including to obtain injunctive relief in addition to any other rights available to KH at law. You agree to fully indemnify KH for its legal costs on a solicitor and own client basis for any steps KH is required to take to enforce this Agreement. 

 

This Agreement entitles you to install and use one copy of the Program material only to be used during the duration of your subscription to the Program. Multiple copy uses or installation is only allowed if you obtain an appropriate licensing agreement for each user and each copy of the Program material. Participation in the Program includes certain community and multi-client activities. As such, by participating in the Program and other events, resources, or information provided by KH, you grant KH the non-exclusive, irrevocable, worldwide right and license to use your name, likeness, image, voice, appearance, physical attributes, endorsement, and any typed, written, oral, and video submissions in any fashion, for any commercial purpose, including but not limited, and in connection with, the promotion, sale and distribution of the Program and on all brand identifications, promotional material, publicity, sales, advertising,

newspaper, magazine, radio, television, photography, video, cinema, animation, Internet, social

media, podcasts, streaming and similar media presently existing or that may exist in the future,

in connection with the creation, introduction, marketing, distribution, sale and advertising of the Program.

 

If you would like to limit identifying names or other identifying characteristics of yourself, you must provide specific and advance notice in writing to KH.

 

  1. Fees, Payment & Invoicing

The cost of the Program is:  

$99 CAD paid monthly, with a minimum period of 3 months. You may change your mind about wanting to be a part of the Magnetic Collective Program. If that happens please reach out to me ASAP as I would love to help ease your concerns you have about the program.

Please know that healing takes time and if we quit on ourselves too soon, we can rob ourselves of the transformation we seek. That’s why I recommend the minimum of 3 months commitment to the program. However, if you do decide that you want out of the Program, you can cancel after this minimum commitment.

No refunds will be available in any situation. 

The Program will not commence or continue for you while a payment is outstanding. KH may, in its sole discretion, suspend performance or terminate the Program and our agreement if any payments remain outstanding for more than ten days.

 

  1. Confidentiality

 

You may receive certain information and/or personal information regarding KH and/or other clients participating in a Program or other programs with KH. You agree that you will keep all such information strictly confidential, regardless of how it is received (whether written, verbal, or otherwise). 

 

You agree to provide a testimonial(s) of your experience at the end of your Term. This includes but may not be limited to providing details of your outcomes, name, profession, city, and photograph and agree for it to be used for promotional, informational, and educational etc. purposes.

 

If KH wishes to use any of its work product resulting from your participation in the Program or other services provided by KH for the purposes of KH promoting or marketing its services, KH may request consent to use such work product from you, and you will not unreasonably withhold such consent, provided any specific information about your identity will be kept confidential, unless you agree otherwise.  

 

By entering into this contract you agree to also read and comply with the Terms and Privacy policies on KatieHunt.ca. These policies and this contract should be considered part of the Agreement and KH may, at its sole discretion, amend its policies from time to time and your continued participation and/or use will be your agreement to these amendments.

It is a condition of your use of the KH website, materials, information, and your participation in the Program that you do not:

  • restrict or inhibit any other user from using and enjoying the Site.

  • use the Site to impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

  • interfere with or disrupt any servers or networks used to provide the Site or its features, or disobey any requirements, procedures, policies or regulations of the networks we use to provide the Site.

  • use the Site to instigate or encourage others to commit illegal activities or cause injury or property damage to any person.

  • gain unauthorized access to the Site, or any account, computer system, or network connected to this Site, by means such as hacking, password mining or other illicit means.

  • obtain or attempt to obtain any materials or information through any means not intentionally made available through this Site.

  • use the Site to post or transmit any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, pornographic, profane or indecent information of any kind, including without limitation any transmissions constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any local, state, national or international law.

  • use the Site to post or transmit any information, software or other material that violates or infringes upon the rights of others, including material that is an invasion of privacy or publicity rights or that is protected by copyright, trademark or other proprietary right, or derivative works with respect thereto, without first obtaining permission from the owner or rights holder.

  • use the Site to post or transmit any information, software or other material that contains a virus or other harmful component.

  • use the Site to post, transmit or in any way exploit any information, software or other material for commercial purposes, or that contains advertising.

  • use the Site to advertise or solicit to anyone to buy or sell products or services, or to make donations of any kind, without our express written approval. gather for marketing purposes any email addresses or other personal information that has been posted by other users of the Site.

 

KH may host Facebook groups, message boards, chats and other public forums. Any user failing to comply with the terms and conditions of this Agreement may be expelled from and refused continued access to, the message boards, chats or other public forums in the future. KH or its designated agents may remove or alter any user-created content at any time for any reason. Groups, chats and other public forums are intended to serve as discussion centers for users and subscribers. Information and content posted within these public forums may be provided by KH staff, KH’s outside contributors, or by users not connected with KH, some of whom may employ anonymous user names.

 

KH expressly disclaims all responsibility and endorsement and makes no representation as to the validity of any opinion, advice, information or statement made or displayed in these forums by third parties, nor are we responsible for any errors or omissions in such postings, or for hyperlinks embedded in any messages. Under no circumstances will we, our affiliates, suppliers or agents be liable for any loss or damage caused by your reliance on information obtained through these forums. The opinions expressed in these forums are solely the opinions of the participants, and do not reflect the opinions of KH or any of its subsidiaries or affiliates.

 

KH has no obligation whatsoever to monitor any of the content or postings on the message boards, chat rooms or other public forums on its sites. However, KH reserves the right to alter, edit, refuse to post or remove any postings or content, in whole or in part, for any reason and to disclose such materials and the circumstances surrounding their transmission to any third party in order to satisfy any applicable law, regulation, legal process or governmental request and to protect ourselves, our clients, sponsors, users and visitors.

 

You expressly agree to release KH from all liability to you for the conduct, posts, messages, or involvement of any of KH’s clients that occur or that you may be exposed to as a result of your use and participation in the Program, the site, and any other materials and information provided by or through KH. 


 

  1. Allocation of Liability

 

YOU AGREE THAT KH’S AGGREGATE LIABILITY ARISING OUT OF OR IN ANY WAY RELATED TO OUR AGREEMENT OR THE SERVICES, WHETHER DUE TO OR RELATED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), CLAIMS FOR LEGAL EXPENSES, WARRANTY (WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES ARISING FROM THE SALE OF GOODS ACT), OR OTHERWISE, SHALL NOT EXCEED $500.00.

 

WITHOUT LIMITING THE FOREGOING, YOU AGREE TO WAIVE ANY CLAIMS FOR, AND FURTHER TO RELEASE KH FROM ANY CLAIM OF: LOSS OF USE, LOSS OF REVENUE OR PROFIT, CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL OR PUNITIVE DAMAGES, WHETHER ARISING OUT OF BREACH OF CONTRACT, MENTAL OR EMOTIONAL SUFFERING, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, REGARDLESS OF WHETHER SUCH DAMAGE WAS FORESEEABLE AND REGARDLESS OF WHETHER KH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

IN NO EVENT WILL KH HAVE ANY LIABILITY FOR YOUR USE OF, OR INABILITY TO USE, THE SITE, INCLUDING ANY MESSAGING, BLOGS, COMMENTARY, BOOKS, EMAILS, PRODUCTS, SERVICES PROVIDED BY KH OR BY THIRD PARTIES MADE AVAILABLE IN ANY WAY THROUGH THE SITE AND THE PROGRAM.

 

YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT WE ARE NOT LIABLE FOR ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF ANY USER. IF YOU ARE DISSATISFIED WITH THE SITE, ANY MATERIALS, PRODUCTS, OR SERVICES ON THE SITE, OR WITH ANY OF THE SITE'S TERMS AND CONDITIONS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE AND THE PRODUCTS, SERVICES AND/OR MATERIALS. THIS SITE IS CONTINUALLY UNDER DEVELOPMENT AND COMPANY. MAKES NO WARRANTY OF ANY KIND, IMPLIED OR EXPRESS, AS TO ITS ACCURACY, COMPLETENESS OR APPROPRIATENESS FOR ANY PURPOSE.

 

General

Our agreement is governed by the laws of the Province of Alberta and federal laws applicable therein, and both parties irrevocably attorn to the jurisdiction of the Courts in Calgary, Alberta.

 

Our agreement shall not be construed as creating an employment relationship, partnership, association, or joint-venture. By participating in the Program or using any services provided by KH, you confirm you have read and understood the contents of this Agreement, have had the chance to obtain legal advice (or waived the right to do so) and are voluntarily agreeing and accepting the terms set out herein.

By completing your payment you confirm that you have read, understand and agree to be bound by the terms and conditions of this agreement.
